1. Acceptance of Terms

By accessing and using Understory (the "Service"), operated by Understory Analytics ("we," "us," or "our"), you accept and agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service.

2. Description of Service

Understory provides an aggregated database of government and cooperative purchasing contracts from various Group Purchasing Organizations (GPOs) including E&I, Sourcewell, and OMNIA Partners. Our Service allows users to search, filter, and access contract information.

3. Data Accuracy and Liability

All contract information is provided "as-is" from the respective GPOs and suppliers. While we strive to maintain accurate and up-to-date information:

• We do not guarantee the accuracy, completeness, or timeliness of any contract data
• Users must verify all contract details, pricing, terms, and availability directly with the suppliers and GPOs before making any purchasing decisions
• We are not responsible for any losses, damages, or claims arising from outdated, incorrect, or incomplete contract information
• Contract terms, pricing, and availability are subject to change without notice

4. User Accounts

To access certain features of the Service, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

5. Subscription and Payment Terms

We offer both free and paid subscription tiers:

• Free Tier: Limited to 10 searches per month
• Pro Tier: Unlimited searches and ability to save contracts

Refund Policy: You may cancel your Pro subscription at any time. Cancellations take effect at the end of the current billing period. We do not provide refunds for partial months of service.

All payments are processed securely through Stripe. By subscribing to a paid tier, you authorize us to charge your payment method on a recurring basis until you cancel.

6. Prohibited Use

You agree not to:

• Use automated systems (bots, scrapers, crawlers) to access the Service
• Resell, redistribute, or commercialize our contract data without written permission
• Attempt to reverse engineer, decompile, or extract the source code of the Service
• Use the Service for any illegal or unauthorized purpose
• Interfere with or disrupt the Service or servers
• Circumvent usage limits or access restrictions

7. Account Termination

We reserve the right to suspend or terminate your account at our discretion, without notice, for:

• Violation of these Terms of Service
• Fraudulent or illegal activity
• Abuse of the Service or other users
• Non-payment of subscription fees

You may delete your account at any time through your account settings. Upon termination, your access to the Service will cease immediately.

8. Intellectual Property

The Service, including its design, functionality, and underlying software, is owned by Understory Analytics and protected by intellectual property laws. Contract data is provided by third-party GPOs and suppliers and remains their property.

9. Limitation of Liability

To the maximum extent permitted by law, Understory Analytics shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any errors, omissions, or inaccuracies in contract data
• Any business dealings or interactions with third-party suppliers or GPOs

10. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will notify users of significant changes via email or through the Service. Your continued use of the Service after changes constitutes acceptance of the updated terms.

11. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the United States. Any disputes arising from these terms or your use of the Service shall be resolved in the courts of the United States.
